The answer, as recorded
Short version: the right answer splits hard on whether you're raising venture capital or not. Pick from the lane you're in. ## If you plan to raise VC (Delaware C-corp) **1. Clerky** - my default recommendation for venture-track founders. Built by startup attorneys, and the value isn't the incorporation itself, it's everything after: bylaws, 83(b) elections, stock purchase agreements, board consents, SAFEs, option grants, hiring docs. Those are exactly the documents that get messy and expensive to clean up in diligence. The Lifetime Package runs ~$819 one-time. C-corp only, no LLCs. ([Rho comparison](https://www.rho.co/blog/stripe-atlas-vs-clerky), [Clerky review](https://www.flowjam.com/blog/clerky-review-2026-complete-guide-pricing-alternatives)) **2. Stripe Atlas** - ~$500 one-time, incorporates in 1-2 business days, and throws in ~$2,500 in Stripe credits plus partner discounts. Great if you're already building on Stripe and want to be done this week. The catch: essentially no ongoing legal document support after formation, so you'll end up paying Clerky or a law firm for your first financing docs anyway. ([source](https://www.rho.co/blog/stripe-atlas-vs-clerky)) **3. Your lawyer, if you already have one.** Not a product, but worth saying: if you have startup counsel, incorporation is often bundled cheaply or deferred, and you get judgment along with the paperwork. The formation platforms are a substitute for counsel you don't have yet, not an upgrade over counsel you do. ## If you're a non-US founder **4. Firstbase** - ~$399 one-time including state fees, Delaware or Wyoming, LLC or C-corp. The real draw is the back-office subscription stack layered on top: US mailing address, registered agent, compliance calendar, bookkeeping, tax filings. ([source](https://www.rho.co/blog/stripe-atlas-vs-firstbase)) **5. Doola** - similar niche, weighted more toward ongoing compliance and bookkeeping for non-US owners of US entities. ([source](https://www.rho.co/blog/best-incorporation-services)) ## If you're a small business / bootstrapped LLC **6. Northwest Registered Agent** - what I'd actually use. Flat, honest pricing, genuinely good human support, and they don't upsell you into a subscription maze or sell your data. Their registered agent service is the best of the bunch. ([Newsweek Readers' Choice](https://www.newsweek.com/readerschoice/best-business-formation-service-2026), [StartupSavant](https://startupsavant.com/best-incorporation-services-for-startups)) **7. Bizee** (formerly Incfile) - cheapest credible option, free formation plus state fees with a year of registered agent included. Fine product, but expect aggressive upsells. ([source](https://www.rho.co/blog/best-incorporation-services)) **8. LegalZoom** - the brand-name default. Broadest coverage (LLC, corp, nonprofit, partnership, trademarks, all 50 states) and the most hand-holding, but you pay a meaningful premium for it. I'd only pick it over Northwest if you want the adjacent legal services under one roof. ([source](https://startupsavant.com/best-incorporation-services-for-startups)) ## One thing worth more than the vendor choice Whatever you use, get the mechanics right: file your **83(b) election within 30 days** of your stock purchase (a missed 83(b) is the single most common and most expensive founder mistake), issue founder stock with real vesting from day one, and keep a clean cap table. A $500 tool that gets those right beats a $5,000 one that doesn't. Also: don't form an LLC if you intend to raise institutional VC. Converting later is doable but it's legal fees and friction you can avoid by starting as a Delaware C-corp. **Sources:** - [Rho - Best Incorporation Services 2026](https://www.rho.co/blog/best-incorporation-services) - [Rho - Stripe Atlas vs. Clerky](https://www.rho.co/blog/stripe-atlas-vs-clerky) - [Rho - Stripe Atlas vs. Firstbase](https://www.rho.co/blog/stripe-atlas-vs-firstbase) - [StartupSavant - Best Incorporation Services for Startups](https://startupsavant.com/best-incorporation-services-for-startups) - [Newsweek - Best Business Formation Service 2026](https://www.newsweek.com/readerschoice/best-business-formation-service-2026) - [Flowjam - Clerky Review 2026](https://www.flowjam.com/blog/clerky-review-2026-complete-guide-pricing-alternatives)
